Terms of Use
These Terms of Use ("Terms") govern your access to and use of the Ownlate service ("Service"), operated by GlobalArt, Inc. ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Description of the Service
Ownlate is a cloud-based translation management platform that enables teams to manage, translate, and publish multilingual content. The Service includes a translation editor, glossaries, translation memory, integrations, and an API.
2. Account Registration
When registering, you must provide accurate and complete information. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You must be at least 18 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Subscription and Payment
The Service is offered on a subscription basis, billed monthly or annually.
- Payment is due in advance and is non-refundable, except as required by applicable law or as expressly stated in these Terms.
- Annual subscriptions may be cancelled before the renewal date; no refunds are issued for unused months of an annual term.
- We may change our pricing with 30 days' prior notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
- If a payment fails, we may suspend access to the Service until the outstanding balance is resolved.
- EU customers have a statutory right to cancel within 14 days of initial purchase (cooling-off period) unless the Service has already been fully performed with your prior consent.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation, including but not limited to EU Regulation 2016/679 (GDPR) and applicable US federal and state law;
- Upload content that infringes the intellectual property rights of any third party;
- Attempt to gain unauthorized access to the Service or its underlying infrastructure;
- Resell or sublicense the Service without our prior written consent;
- Engage in any activity that disrupts, damages, or impairs the integrity or performance of the Service.
5. Your Content
You retain ownership of all content you upload to the Service ("User Content"). By uploading content, you grant us a limited, non-exclusive, worldwide, royalty-free license to store and process it solely for the purpose of providing the Service.
We do not claim ownership of your translations, source files, or any other User Content.
6. Intellectual Property
The Service, including its software, design, and documentation, is the exclusive property of GlobalArt, Inc. and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
7. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy.
For users in the European Economic Area (EEA): We process personal data as a data controller under Regulation (EU) 2016/679 (GDPR). You have rights of access, rectification, erasure, restriction, portability, and objection. To exercise your rights, contact us at privacy@globalart.dev. You also have the right to lodge a complaint with your local supervisory authority.
For California residents: We comply with the California Consumer Privacy Act (CCPA) as amended by the CPRA. You have the right to know, delete, and opt out of the sale or sharing of your personal information. We do not sell personal information.
By using the Service, you consent to such processing in accordance with our Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Nothing in these Terms limits any statutory rights you may have that cannot be waived or excluded under applicable law, including consumer protection rights in the EU.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GLOBALART, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
Our aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to us in the three (3) months preceding the date of the claim.
For EU consumers: Nothing in this section excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.
10. Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your access if you breach these Terms.
Following termination, you may export your data for 30 days, after which it may be permanently deleted. Where required by applicable law, we will provide reasonable advance notice of termination.
11. Governing Law and Dispute Resolution
For users outside the European Union: These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
For users in the European Union: These Terms are governed by the laws of the country in which GlobalArt, Inc. is established. EU consumers may also benefit from the mandatory consumer protection provisions of the law of the EU Member State in which they reside. Disputes may be submitted to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
12. Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify you by email or via the Service interface at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
