Public offer

This Subscription Agreement ("Agreement") is entered into between GlobalArt, Inc. ("Company", "we", "us") and the individual or entity accessing or using the Ownlate service ("Customer", "you"). By activating a subscription or completing a purchase, you agree to be bound by this Agreement.


1. Service

The Company grants the Customer access to Ownlate, a cloud-based translation management service ("Service"), in accordance with the selected subscription plan and for the duration of the paid billing period.

2. Pricing and Plans

Current subscription plans and pricing are available at ownlate.com/pricing.

  • Prices are listed in USD (United States customers) or EUR (European customers) and are inclusive of applicable taxes where required by law.
  • Billing periods are monthly or annual, selected by the Customer at the time of purchase.
  • The Company may update pricing with no less than 30 days' prior written notice via email and in-app notification. Updated pricing takes effect at the start of the Customer's next billing period.

3. Recurring Billing

3.1. Authorization

By subscribing and providing a payment method, the Customer expressly authorizes the Company to charge the provided payment method on a recurring basis in accordance with this Agreement.

3.2. Billing Schedule

  • The first charge occurs at the time of subscription activation.
  • Subsequent charges are processed automatically at 00:00 UTC on the first day of each new billing period (monthly or annual, per the selected plan).
  • The next billing date is displayed under Settings → Subscription in the Customer's account.
  • Charges are applied to the payment method on file. The Customer may update their payment method at any time under Settings → Billing prior to the next scheduled charge.

3.3. Failed Payments

If a payment is declined, the Company will:

  1. Notify the Customer by email promptly;
  2. Provide a 7-day grace period during which the Customer may update their payment details;
  3. Retry the charge after 3 and 7 days from the initial failed attempt.

If the payment remains unsuccessful after the grace period, access to the Service will be suspended. Customer data will be retained for 30 days following suspension.

4. Cancellation

The Customer may cancel their subscription at any time under Settings → Subscription → Cancel Subscription.

  • Cancellation takes effect at the end of the current paid billing period.
  • No further charges will be made after the cancellation takes effect.
  • To prevent the next scheduled charge, cancellation must be completed at least 24 hours before the next billing date.
  • Access to the Service remains available through the end of the paid period.

5. Refunds

  • All fees are non-refundable except as expressly stated below or as required by applicable law.
  • Erroneous charges (duplicate billing, technical errors): the Customer must contact support at legal@globalart.dev within 14 calendar days of the charge. Verified erroneous charges will be refunded to the original payment method within 10 business days.
  • EU Customers — Right of Withdrawal: Customers in the European Union have the right to withdraw from this Agreement within 14 days of purchase without giving any reason, provided the Service has not yet been accessed or used. To exercise this right, contact legal@globalart.dev. Once the Customer has accessed the Service, the right of withdrawal is waived in accordance with Article 16(m) of the EU Consumer Rights Directive.
  • US Customers: Refunds may be available in accordance with applicable state consumer protection laws. Please contact legal@globalart.dev for inquiries.

6. Rights and Obligations

The Company agrees to:

  • Make the Service available 24/7, except for scheduled maintenance (with at least 24 hours' advance notice) and events beyond the Company's reasonable control (force majeure);
  • Process and store Customer data in accordance with the Privacy Policy and applicable data protection law.

The Customer agrees to:

  • Provide accurate information during registration;
  • Use the Service in accordance with the Acceptable Use Policy and applicable law;
  • Keep payment information current and up to date.

7. Data Privacy

EU Customers (GDPR): The Company processes personal data in accordance with its Privacy Policy and Regulation (EU) 2016/679 (General Data Protection Regulation). Customers have the right to access, rectify, erase, restrict, and port their personal data, and to object to processing. To exercise these rights, contact legal@globalart.dev. Where personal data is transferred outside the European Economic Area, the Company ensures appropriate safeguards are in place.

US Customers: The Company processes personal data in accordance with its Privacy Policy and applicable US federal and state privacy laws, including the California Consumer Privacy Act (CCPA) where applicable. California residents have the right to know, delete, and opt out of the sale of their personal information.

By subscribing, the Customer acknowledges and agrees to the processing of their personal data as described in the Privacy Policy, including for payment processing purposes.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.
  • The Company's total aggregate liability to the Customer shall not exceed the total fees paid by the Customer in the three (3) months preceding the date of the claim.
  • Nothing in this Agreement limits liability that cannot be excluded by law (including liability for death or personal injury caused by negligence, or for fraud).

EU Customers: Statutory consumer rights under applicable EU and member state law are not affected by this section.

9. Term and Modifications

This Agreement is effective upon subscription activation and continues until terminated. The Company may modify this Agreement with no less than 14 days' prior notice via email or in-app notification. Continued use of the Service after the effective date of any modification constitutes acceptance of the updated terms.

10. Governing Law and Disputes

EU Customers: This Agreement is governed by the laws of the country of the Customer's residence. For B2C disputes, EU customers may access the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr. Nothing in this Agreement affects the Customer's rights under mandatory local consumer protection law.

US Customers: This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes not resolved informally shall be submitted to binding arbitration in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules. Class action waiver: to the extent permitted by law, disputes shall be resolved on an individual basis only.

All other customers: This Agreement is governed by the laws of the State of Delaware, and disputes shall be resolved in the courts of Delaware.
